TERMS OF USE FOR INTENDED PARENTS (CANADA) Last Updated: January 16, 2026 These Terms of Use ("Terms") govern your access to and use of the Family Seed platform ("Platform") as an intended parent ("you" or "Intended Parent"). By creating an account or using the Platform, you agree to be bound by these Terms and applicable Canadian law. 1. ACCEPTANCE OF TERMS By creating an account or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform. 2. ELIGIBILITY & REGISTRATION 2.1. You must be at least 18 years of age and legally capable of entering into a binding agreement under Canadian law. 2.2. You agree to provide accurate, truthful, and complete information during registration and onboarding. 2.3. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. 2.4. Family Seed may suspend or terminate accounts that provide false, misleading, or incomplete information, subject to applicable law. 3. PERMITTED USE OF THE PLATFORM 3.1. The Platform may be used solely for legitimate family-building and fertility- related purposes. 3.2. You may search donor profiles, view information, and communicate with donors only in accordance with donor privacy and anonymity settings. 3.3. You must not use the Platform for commercial, exploitative, research, or non- personal purposes. 3.4. You agree not to attempt to circumvent privacy, anonymity, or platform safeguards. 4. DONOR INFORMATION & CONFIDENTIALITY 4.1. Donor information is provided solely for discovery and consideration purposes. 2 4.2. You must respect all donor anonymity and disclosure preferences. 4.3. You must not download, record, disclose, share, publish, or distribute donor information outside the Platform without explicit authorization. 4.4. Donor information must not be used for commercial, promotional, or unrelated purposes. 4.5. Unauthorized use or disclosure of donor information may result in immediate account termination and legal action. 5. COMMUNICATIONS & CONDUCT 5.1. All communications must be respectful, appropriate, and lawful. 5.2. Harassment, coercion, discrimination, pressure, or inappropriate conduct is strictly prohibited. 5.3. Family Seed reserves the right to monitor communications only as necessary to enforce these Terms, ensure safety, or comply with legal obligations. 5.4. Violations may result in suspension or termination of your account. 6. SUBSCRIPTIONS, FEES & PAYMENTS 6.1. Family Seed offers free and paid subscription tiers with varying features and access levels. 6.2. Subscription features, pricing, and availability may change from time to time. 6.3. Fees are disclosed at the time of purchase. 6.4. Refunds, cancellations, and billing matters are governed by the applicable refund policy and Canadian consumer protection laws. 6.5. Family Seed does not guarantee compatibility, donor availability, or outcomes regardless of subscription level. 7. ROLE OF FAMILY SEED 7.1. Family Seed is a technology platform that facilitates discovery, verification, and information sharing. 7.2. Family Seed is not: • A fertility clinic • A medical provider • A donor agency • A legal service provider 7.3. All medical procedures, legal agreements, screenings, counselling, and expense reimbursement arrangements occur outside the Platform and are the responsibility of the intended parent and third-party professionals. 8. NO MEDICAL OR LEGAL ADVICE 8.1. Information provided on the Platform is for general informational purposes only. 3 8.2. Family Seed does not provide medical, genetic, psychological, or legal advice. 8.3. You are encouraged to seek independent medical and legal advice before proceeding with any fertility or donation-related decisions. 9. NO GUARANTEES & ASSUMPTION OF RISK 9.1. Use of the Platform is voluntary. 9.2. Family Seed makes no guarantees regarding donor availability, compatibility, outcomes, or success. 9.3. Family Seed is not responsible for outcomes arising from off-platform interactions or third-party services. 10. ACCOUNT TERMINATION 10.1. You may deactivate your account at any time. 10.2. Family Seed may suspend or terminate accounts for violations of these Terms, misconduct, misuse of donor information, or legal compliance concerns, in accordance with Canadian law. 10.3. Termination does not affect obligations arising from agreements entered into outside the Platform. 11. LIMITATION OF LIABILITY To the fullest extent permitted under Canadian law, Family Seed shall not be liable for indirect, incidental, or consequential damages arising from your use of the Platform. Nothing in these Terms limits liability where such limitation is prohibited by law. 12. GOVERNING LAW & JURISDICTION These Terms are governed by the laws of Canada and the laws of the province or territory in which the intended parent resides. Any disputes shall be resolved in the courts of competent jurisdiction within Canada. 13. CHANGES TO TERMS Family Seed may update these Terms from time to time. Material changes will be communicated through the Platform. Continued use constitutes acceptance of the updated Terms.
